Transaction Overview
Through this transaction, the Purchasers acquired substantially all of the operating assets relating to the Companies’ businesses, including certain inventory, equipment, customer relationships, and other business assets necessary to restart and revive production and promptly establish new operations. Through completion of their Article 9 acquisition, the Purchasers have preserved the core assets and capabilities of the Companies’ businesses while supporting the new operations with a sustainable financial and operating structure.
Going-Forward Business Operations
The Purchasers are committed to establishing new relationships with vendors that previously supported the Companies. The Purchasers will provide the new businesses with a strengthened capital structure and streamlined operations and will focus on developing and maintaining mutually beneficial relationships with their suppliers and customers.
Going forward, the Purchasers will:
• Commit to transacting timely with vendors and servicing key customers;
• Engage essential employees and leadership talent; and
• Invest in operations, technology and growth initiatives.
